Terms of Service

These Terms of Service ("Terms") govern your use of TradeLab Enterprise, including the website, the web application and any related services (together, the "Service"), provided by TradeLab Enterprise ("we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Who can use TradeLab Enterprise

You must have reached the age of majority where you live (19 in British Columbia) and be able to enter into a binding contract. You are responsible for keeping your password secure and for everything done through your account. Tell us promptly at tradelabenterprise@gmail.com if you believe your account has been accessed without your permission.

2. What the Service does, and does not do

TradeLab Enterprise lets you record trading books and watchlists, calculates position sizes and risk limits from settings you choose, checks proposed trades against those limits, scans price data for chart patterns, and records a trade journal.

• We do not execute trades. TradeLab Enterprise is not connected to any brokerage or exchange account. You place every order yourself, with your own broker, and you are solely responsible for doing so.
• We do not provide investment advice. Pattern signals, gate checks, suggested sizes and historical replays are mechanical calculations, not recommendations. See the Risk Disclaimer.
• We do not hold your money or any assets.

3. Market data

Prices and chart history shown in the Service come from third-party sources, may be delayed, incomplete or incorrect, and may be unavailable at times. Always confirm prices and levels with your broker before acting. We are not responsible for losses arising from data errors, delays or outages.

4. Plans, billing and cancellation

• Free plan. The Free plan is provided at no charge with the features and limits described on our pricing page. We may change those features or limits with reasonable notice.
• Pro plan. Pro is a subscription billed in advance each month at the price shown on our pricing page and at checkout, plus any applicable taxes. Payments are processed by Stripe; we never see or store your full card details.
• Automatic renewal. Your subscription renews each month until you cancel. You can cancel at any time under Settings → Manage billing. Cancellation takes effect at the end of the current billing period and you keep Pro until then.
• Refunds. Payments are non-refundable and we do not provide refunds or credits for partial months, except where required by law. If you delete your account, any active subscription is cancelled immediately and no further charges are made.
• Failed payments. If a payment fails, Stripe will retry it. If it cannot be collected, your account returns to the Free plan. Your data is kept, but Pro-only features stop working.
• Price changes. We will give you at least 30 days' notice by email before a price change takes effect on your subscription.

5. Your data

You own the trades, books, watchlists, journal entries and other content you put into TradeLab Enterprise. You give us permission to store and process it only as needed to provide the Service to you. How we handle personal information is described in our Privacy Policy. You can delete your account and its data at any time from Settings.

6. Acceptable use

You agree not to:

• break the law, or use the Service to mislead or harm others;
• try to access another user's account or data, or probe, scan or test the Service's security without our written permission;
• scrape the Service, resell its data, or use it to build a competing product;
• overload or interfere with the Service, including through automated requests beyond normal personal use;
• share your account with others or create accounts by automated means.

We may suspend or close accounts that break these rules.

7. Availability and changes

We work to keep TradeLab Enterprise available and accurate, but we do not guarantee that it will be uninterrupted, error-free or available at any particular time. We may add, change or remove features. If we discontinue the Service, we will give reasonable notice and stop billing.

8. Ending your use

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service. Sections 3, 5, 9, 10 and 11 survive termination.

9. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Nothing in the Service is a promise or prediction of trading results.

10. Limitation of liability

To the fullest extent permitted by law, TradeLab Enterprise will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any trading losses, lost profits, lost data or business interruption, arising out of or related to your use of the Service, even if we were told such damages were possible. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose and (b) CAD $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Indemnity

You agree to indemnify and hold TradeLab Enterprise harmless from claims, losses and expenses (including reasonable legal fees) arising from your misuse of the Service or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there. The courts of British Columbia have exclusive jurisdiction over any dispute, except where the law of your place of residence gives you a right to bring proceedings there.

13. Changes to these Terms

We may update these Terms. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
